AI Valley – Terms of Use

Welcome to AI Valley ("AI Valley," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our websites, events, programs, online platforms, and services, including but not limited to aivalley.io, Discord communities, newsletters, event registration platforms, hackathons, workshops, and related offerings (collectively, the "Services").

By accessing or participating in any AI Valley Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Purpose of AI Valley

AI Valley is a community-driven organization focused on creating high-signal environments for builders, founders, engineers, researchers, and creators to learn, collaborate, and build meaningful work. Participation in AI Valley is voluntary and does not create any employment, partnership, agency, or fiduciary relationship.

2. Eligibility

You must be at least 18 years old to access or participate in AI Valley Services unless otherwise explicitly permitted in writing. By participating, you represent that you have the legal capacity to enter into these Terms.

3. Community Standards and Conduct

All participants must comply with AI Valley's Code of Conduct, which is incorporated by reference into these Terms.

You agree not to:

AI Valley reserves the right, at its sole discretion, to remove, suspend, or ban any participant from the Services for conduct that violates these Terms, the Code of Conduct, or the spirit of the community.

4. Events, Hackathons, and Programs

Participation

Participation in events, hackathons, workshops, and programs is voluntary and at your own risk. Event details, schedules, formats, judges, prizes, and rules may change at any time.

Judging and Prizes

All judging decisions are final. AI Valley reserves sole discretion over eligibility, scoring, prize allocation, and disqualification.

Prizes may be subject to additional terms, eligibility requirements, taxes, or reporting obligations, which are the responsibility of the recipient.

Modifications and Cancellations

AI Valley may modify, postpone, or cancel any event or program at any time without liability.

5. Intellectual Property

Your Content

You retain ownership of any projects, code, presentations, or materials you create and submit as part of AI Valley activities ("Participant Content").

By participating, you grant AI Valley a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and share Participant Content solely for community, promotional, educational, and archival purposes.

AI Valley Content

All AI Valley branding, materials, logos, content, and designs are owned by AI Valley or its licensors and may not be used without permission.

6. Media Release

By attending or participating in AI Valley events or programs, you consent to being photographed, filmed, or recorded. You grant AI Valley the right to use your name, likeness, voice, and appearance in connection with marketing, documentation, and promotional materials without compensation.

7. Assumption of Risk

You acknowledge that participation in AI Valley activities may involve inherent risks, including but not limited to travel, physical activity, long hours, use of technology, or public interaction. You voluntarily assume all such risks.

8. Limitation of Liability

To the maximum extent permitted by law, AI Valley shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your participation in the Services.

AI Valley's total liability for any claim shall not exceed the amount paid by you, if any, to AI Valley in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless AI Valley, its organizers, volunteers, partners, sponsors, and affiliates from any claims, damages, losses, or expenses arising from your participation, conduct, or violation of these Terms.

10. Third-Party Services

AI Valley may use third-party platforms (e.g., event registration tools, communication platforms). AI Valley is not responsible for the content, policies, or practices of third parties.

11. Termination

AI Valley may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms or community standards.

12. Disclaimer

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

14. Changes to These Terms

AI Valley may update these Terms from time to time. Continued participation after changes constitutes acceptance of the updated Terms.
